1. Acceptance of Terms
By accessing or using the ESSGI Attendance & HR Management System ("Service") provided by Essgi Infotech Private Limited ("ESSGI", "Company", "we", "us"), you ("Customer", "you") agree to be bound by these Terms & Conditions. If you do not agree, you must not use our Service.
2. Description of Service
ESSGI provides a cloud-based (SaaS) Attendance and Human Resource Management System that includes:
- Employee attendance tracking with GPS-based check-in/check-out
- Leave management and approval workflows
- Claims and reimbursement management
- HR letter generation and office correspondence
- AI-powered document generation (quotations, invoices)
- Reporting manager approval workflows
- Admin dashboard, reports, and analytics
The Service is delivered as a subscription over the internet. No physical goods are shipped.
3. Account Registration
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
4. Subscription & Payment
- Subscriptions are billed annually (1-year or 2-year terms).
- All payments are one-time (non-recurring) and processed securely via Razorpay.
- Prices are exclusive of GST (currently 18%), which will be added at checkout.
- Payment must be made in Indian Rupees (INR).
- Your subscription activates immediately upon successful payment.
- Failure to renew before expiry may result in temporary suspension of access.
5. Acceptable Use
You agree NOT to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service
- Share your account credentials with unauthorized individuals
- Upload malicious code, viruses, or harmful content
- Exceed the user limit of your purchased plan without purchasing additional user licenses
- Use the Service to store or transmit content that is defamatory, obscene, or infringing
- Resell, sublicense, or redistribute the Service without our written consent
6. Data Ownership & Responsibility
- Your Data: You retain full ownership of all data you upload or input into the system. ESSGI does not claim any ownership over your data.
- Data Processing: We process your data solely for providing the Service. Refer to our Privacy Policy for details.
- Data Backup: While we maintain regular backups, you are encouraged to export your data periodically.
- Data Deletion: Upon subscription expiry or account termination, your data will be retained for 30 days and then permanently deleted.
7. Service Availability
We aim to provide 99.5% uptime for our Service. However, we do not guarantee uninterrupted availability and shall not be liable for any downtime caused by:
- Scheduled maintenance (we will provide advance notice where possible)
- Force majeure events (natural disasters, government actions, pandemics)
- Third-party service disruptions (hosting providers, DNS, internet outages)
- Your own network or hardware issues
8. Intellectual Property
The Service, including its source code, design, features, documentation, and branding, is the intellectual property of Essgi Infotech Private Limited and is protected by Indian copyright and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your active subscription period.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- ESSGI shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.
- Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
- We are not responsible for any loss of data, business, or revenue resulting from use of the Service.
10. Termination
- By You: You may cancel your subscription at any time by contacting us. Refunds are governed by our Refund Policy.
- By Us: We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to make payments.
- Upon termination, your access to the Service will cease, and data retention/deletion will follow our stated policies.
11. Indemnification
You agree to indemnify, defend, and hold harmless ESSGI, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.
12. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
13. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or a notice on our website. Continued use of the Service after changes constitutes acceptance of the updated Terms.
